This agreement ("Agreement") pertains to the submission of Destinations and/or Points of Interest business information (referred to as "Content") to Lovely Terra. By submitting the Content, the person(s) making the submission (the "Representative") affirms to be an authorized representative of the Destinations and/or Points of Interest's owners ("Destinations and/or Points of Interest"). The Representative acknowledges reading and agreeing to the terms and conditions outlined herein.
Copyright, Ownership Reservation, and Licensing Grant
All copyrights and ownership rights in the Content shall remain with the Destinations and/or Points of Interest at all times. The Destinations and/or Points of Interest retains exclusive ownership of any copies of the Content licensed under this Agreement.
The Destinations and/or Points of Interest grants Lovely Terra a non-exclusive, transferable license to use the Content, provided from time to time, with the restricted right to sublicense as described below. This license permits Lovely Terra to use the Content on the Lovely Terra website, electronic delivery products, and by Lovely Terra's customers in their respective websites and business operations, products, and services, all subject to the terms and conditions outlined in this Agreement.
Usage and Modification Rights
Lovely Terra may modify, resize, touch up, clarify, crop, cut, rescale, and revise the Content as needed, including written descriptions and photo captions. Lovely Terra also has the right to determine the Content's pixel size and resolution.
Lovely Terra may sublicense the Content to other parties for use, incorporation, and linkage into or with websites, and business operations, products, and services related to the business of the Company.
Term and Termination
The term of this Agreement is indefinite and commences on the effective date mentioned above. Lovely Terra may terminate this Agreement at any time and for any reason. Upon termination, Lovely Terra will cease using and displaying the Content and delete the said Content from the website of Lovely Terra without notice to the Destinations and/or Points of Interest.
No Compensation and Representations
Lovely Terra does not compensate the Destinations and/or Points of Interest for providing, and permitting the use of, the Content. The Destinations and/or Points of Interest warrants to Lovely Terra that the Content is original or licensed work and agrees to indemnify Lovely Terra for any loss or damage arising from a breach of representation or warranty given under this Agreement.
Agency Disclaimer and Notices
Nothing contained herein or done hereunder shall be construed as constituting either party as the agent of the other. All notices required or permitted to be given to Lovely Terra shall be sent by email to info@lovelyterra.com or to such other address as specified by Lovely Terra.
Entire Agreement, Governing Law, and Severability
Destinations and/or Points of Interest acknowledges that Lovely Terra reserves the right to amend these terms and conditions at its discretion. The Agreement constitutes the entire understanding between the parties. In case any provision of this Agreement is deemed unenforceable or invalid, the rest of the provisions shall remain unaffected.
